1. Introduction & Acceptance

These Terms and Conditions (“Terms”) govern your use of www.BlkPodNews.com (the “Website”) and all services and features provided by the Black Podcasters Association (“BPA”). By accessing or using the Website, BPA, or submitting any content or materials (including but not limited to submissions to Creator Careers), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Website or BPA, or submit any materials.

2. Definitions

The Website: Refers to www.BlkPodNews.com and any subdomains, services, or features.

BPA: Refers to the Black Podcasters Association, its staff, affiliates, and services.

Platforms: Means both the Website and BPA collectively.

User/You: Anyone accessing, browsing, subscribing, submitting materials, or using the Platforms.

Subscriber: Any User with a registered account, newsletter subscription, or other membership.

Materials: Any content, including but not limited to articles, events, podcasts, photos, videos, questions, career-related submissions, or listings submitted to the Platforms.

3. Affiliate, Sponsor, & Advertiser Disclosure

The Platforms may promote affiliate links, sponsored content, or advertisements. When you purchase through an affiliate link, the Platforms may earn a commission at no extra cost to you. Sponsors and advertisers may also provide additional revenue. Any such relationships do not constitute an endorsement by the Platforms.

4. License to Use Materials

By submitting Materials to the Platforms, you grant the Platforms a non-exclusive, worldwide, royalty-free license to use, copy, reproduce, distribute, display, modify, or adapt the Materials for any purpose, including but not limited to publishing, advertising, and promotional purposes. You retain ownership of your Materials, subject to this license.

5. Ownership & Representations

You represent and warrant that you are the owner of all Materials you submit or have obtained all necessary permissions and authorizations to submit them. You are solely responsible for the accuracy, legality, and appropriateness of your submissions.

6. Minor Edits & Changes

The Platforms reserve the right to make minor edits and changes to submitted Materials, including corrections of grammar, formatting, or length, to improve readability or accessibility.

2. General Terms for All Submissions

Ownership & Authority: By making a Submission, you represent and warrant that you own or have the rights and permission to submit the material, and that it does not violate the rights of any third party.

Accuracy: You are solely responsible for the truthfulness, accuracy, legality, and appropriateness of your Submission.

License: You grant the Platforms a non-exclusive, worldwide, royalty-free license to use, copy, reproduce, display, modify, publish, adapt, translate, and distribute your Submission, in whole or in part, for any purpose, including but not limited to publishing, advertising, editorial, and promotional purposes, in any medium.

Editorial Rights: The Platforms reserve the sole and absolute right to edit, format, reject, remove, or decline to publish or promote any Submission, for any reason or no reason, and without notice or explanation.

No Guarantee of Publication: Submission of content does not guarantee publication, posting, feature, or promotion. Selection and use are at the Platforms’ sole discretion.

No Compensation: No financial or other compensation will be provided for any Submission or for any use of your Submission by the Platforms.

Non-Confidential: All Submissions are deemed non-confidential and may be used or disclosed by the Platforms for any purpose.

Contributor Responsibility: You agree that you are solely responsible and liable for your Submission. The Platforms are not responsible or liable for user-generated content.

Prohibited Content: You agree not to submit content that is unlawful, defamatory, libelous, slanderous, harassing, threatening, invasive of privacy, obscene, infringing, or otherwise objectionable. You are responsible for ensuring your Submission does not violate any law or the rights of any person or entity.

Indemnification: You agree to indemnify and hold harmless the Platforms, their affiliates, staff, editors, officers, and agents from any and all claims, liabilities, damages, losses, or expenses (including attorney’s fees) arising out of your Submission, including but not limited to claims of defamation, libel, slander, copyright infringement, or other violations.

Content Disclaimer: The Platforms may publish, edit, or remove user Submissions at their discretion, but do not endorse or take responsibility for any opinions, advice, statements, or other content provided by users. The views expressed in user Submissions are those of the contributors and do not necessarily reflect the opinions or policies of the Platforms.

3. Feature-Specific Notes

HireMe!:
The Platforms do not verify, vet, endorse, or guarantee any job opportunity, employer, or engagement. All use is at your own risk.

By submitting a profile, headshot, portfolio links, or any other materials (“Submission”) to the HireMe! section of BlkPodNews.com, you acknowledge, represent, and agree that:

Public Display & Hire Tracking — You grant BlkPodNews.com and its affiliates a non-exclusive, royalty-free, worldwide license to publish, display, and distribute your Submission, including your profile information and headshot, in the HireMe! section and related promotional materials. Your profile will be publicly accessible, and you are solely responsible for the information you provide. You consent to allow BlkPodNews.com to contact you for the limited purpose of tracking whether you have been hired as a result of your listing. This tracking is for statistical and reporting purposes only and does not create any agency, employment, or recruitment relationship between you and BlkPodNews.com.

Responsibility & Indemnification — You represent and warrant that all information and materials in your Submission are accurate, lawful, and that you have all necessary rights and permissions to submit them. You agree to indemnify, defend, and hold harmless the Black Podcasters Association, BlkPodNews.com, and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your Submission, including but not limited to intellectual property issues, misrepresentation, or violation of laws.

No Guarantee of Employment — BlkPodNews.com does not act as an employer, recruiter, or agent for any applicant and makes no guarantees regarding job offers, contracts, or other work opportunities as a result of your listing.

Privacy: By submitting a HireMe! listing, you consent to the public display of the information you provide in your listing and acknowledge that we may collect limited hire-tracking data for statistical purposes, as outlined in our Privacy Policy.

Agreement to Terms — Your Submission cannot be accepted unless you agree to this section and the BlkPodNews.com Terms of Service in full.

Feature Friday: Submissions may be used, edited, and promoted at the Platforms’ discretion. There is no guarantee of being featured.

Podcast Review Submissions: The Platforms reserve the right to review or decline to review any submission and to publish honest and independent reviews.

The Sound Off, #AskTheExpert, BPN Celebrates, Off the Press, Check This Out: Submissions may be edited for clarity, length, or appropriateness. Publication is not guaranteed.

Creator Careers:
By submitting questions, topics, or other materials (“Submission”) to the Creator Careers section, you acknowledge and agree that:

Attribution Options — You may choose to have your name credited with your Submission or remain anonymous. If you choose to remain anonymous, your Submission may be published without attribution; however, the Platforms’ editorial staff will retain access to your name and contact information internally for recordkeeping and compliance.

Contact Permission — You may also opt in to be contacted for follow-up questions, clarification, or possible participation in a future interview. Choosing not to opt in will not affect the consideration of your Submission.

Privacy & Contact Data — Any personal information you provide with your Submission (such as your name, email address, or contact preferences) will be handled in accordance with our Privacy Policy. If you opt in, you consent to be contacted by the Platforms for follow-up or potential interviews related to your Submission.

Editorial Use — Submissions may be used in whole or in part, edited for clarity or length, and incorporated into articles, features, or other content published by the Platforms.

Editorial Disclaimer — Articles and content developed from Creator Careers Submissions are for informational and editorial purposes only and do not constitute professional, legal, financial, or career advice.

No Guarantee of Use — Submission does not guarantee publication. Selection and use are at the sole discretion of the Platforms.

No Compensation — No financial or other compensation will be provided for any Submission or for the Platforms’ use of your Submission.

Responsibility — You remain solely responsible for the accuracy and legality of your Submission.

Future Sections: These terms automatically apply to any new submission-based feature added to the Platforms.

8. Liability, Defamation & Disputes

No Endorsement or Liability: The Platforms are not responsible for and do not endorse any Submission or user-generated content. The Platforms shall not be liable for any loss, damage, or harm resulting from reliance on any Submission.

Defamation, Libel, and Slander: The contributor is solely responsible for the content of their Submission. The Platforms disclaim all liability for any allegedly defamatory, libelous, or slanderous material submitted by users.

Notice & Removal: If you believe content violates your rights or the law, contact us at support@blackpodnews.com for review and potential removal.

9. Automated Tools & Artificial Intelligence

The Platforms may use automated tools, artificial intelligence (AI), or third-party services to assist with the creation, review, moderation, editorial decisions, or management of submissions, user accounts, content, and features. The Platforms are not responsible for any errors, omissions, delays, or actions resulting from the use of such tools or services.

10. International Users

The Platforms are operated from the United States but are accessible globally. You are responsible for compliance with all local laws, rules, and regulations in the country in which you reside or access the Platforms.

11. Indemnification

You agree to indemnify and hold harmless the Platforms, their editors, officers, employees, agents, and affiliates from any and all claims, damages, liabilities, losses, and expenses (including reasonable attorney’s fees) arising out of your use of the Platforms or the publication of your Materials, including but not limited to claims of plagiarism, libel, copyright infringement, or violation of law or third-party rights.

12. No Confidentiality

You acknowledge that all Materials submitted to the Platforms are not confidential and may be used or disclosed for any purpose, without payment or attribution to you, except where anonymity is requested and honored under Feature-Specific Notes.

13. No Agency or Endorsement

Nothing in these Terms creates any agency, partnership, employment, or endorsement relationship between users, event submitters, job seekers, employers, or any third party and the Platforms.

14. Third-Party Content & Links

The Platforms may contain links to third-party websites, content, or services. The Platforms do not control, endorse, or assume any responsibility or liability for such third-party content or services.

15. User Conduct

You agree not to use the Platforms for unlawful, abusive, or disruptive activities, including but not limited to posting or transmitting any harmful, threatening, fraudulent, or offensive content.

16. No Warranty

All Platforms, content, Materials, and services are provided “as is” and “as available,” without warranties of any kind, either express or implied. The Platforms expressly disclaim all warranties, including but not limited to merchantability, fitness for a particular purpose, non-infringement, and accuracy of information.

17. Limitation of Liability

To the maximum extent permitted by law, the Platforms shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, resulting from (a) your use or inability to use the Platforms; (b) any third-party conduct or content; or (c) unauthorized access, use, or alteration of your content.

18. Reservation of Rights

The Platforms reserve all rights not expressly granted herein.

19. Termination

The Platforms reserve the right to refuse service, remove content, suspend, or terminate your access or account to any part of the Website or BPA at any time, for any reason or no reason, including but not limited to violations of these Terms, without notice or liability.

20. Children’s Policy

The Platforms are not intended for use by children under the age of 13. If you are under 18, you may use the Platforms only with the involvement and consent of a parent or guardian.

21. Privacy Policy

Your use of the Platforms is also subject to our Privacy Policy which explains how we collect, use, and protect your information. This includes any personal information you may provide in connection with Creator Careers submissions, such as attribution preferences or consent to follow-up contact.

22. Accessibility Statement

The Platforms strive to be accessible to all users. If you experience difficulty accessing content, please contact us at support@blackpodnews.com.

23. DMCA/Copyright Policy

If you believe your copyrighted material has been posted without authorization, please notify us at support@blackpodnews.com with “DMCA” in the subject line.

24. Feedback and Suggestions

Any feedback, suggestions, or ideas submitted to the Platforms may be used for any purpose without compensation, acknowledgment, or obligation to you.

25. Survival

Certain provisions of these Terms, including but not limited to Indemnification, Limitation of Liability, User Submissions, Automated Tools & Artificial Intelligence, and Governing Law, shall survive termination or expiration of your use of the Platforms.

26. Headings for Convenience

Section headings are for convenience only and have no legal or contractual effect.

27. Governing Law & Jurisdiction

These Terms shall be governed by the laws of the State of New York, without regard to its conflict of law provisions. Any legal action or proceeding arising from or relating to these Terms shall be brought exclusively in the state or federal courts located in New York County, New York.

28. Changes & Updates

The Platforms may modify or update these Terms at any time. Updates are effective upon posting to the Website or through other notification methods reasonably designed to reach subscribers or users. Your continued use of the Platforms or submission of Materials after any updates constitutes your acceptance of the revised Terms. Significant changes may be communicated via the Website or email notice to subscribers.

29. Entire Agreement

These Terms constitute the entire agreement between you and the Platforms regarding your use of the Website, BPA, and submission of Materials.
